These Terms of Service govern access to and use of the software platforms, applications, and services provided by Calderis Pty Ltd.
The services include Momentum and any other applications, software platforms, mobile apps, APIs, or related services operated by Calderis.
By accessing or using the Services, you agree to these Terms.

1. Services
Calderis provides cloud-based software designed to assist organisations with operational management, safety reporting, workflow tracking, and continuous improvement processes.
The Services may include web applications, mobile applications, APIs, reporting and analytics tools, and integrations with third-party services.
Calderis may modify, improve, or update the Services from time to time.
2. Accounts
Users must create an account to access the Services.
You agree to provide accurate account information, maintain the security of login credentials, and notify Calderis of unauthorised access.
You are responsible for activity occurring under your account. Organisations may administer multiple users under a single subscription.
3. Subscription and Fees
Access to certain Services may require payment of subscription fees.
Subscriptions may be structured per user, per organisation, or as bundled plans.
Subscriptions may renew automatically unless cancelled before the renewal date. Failure to pay fees may result in suspension or termination of access.
4. Acceptable Use
You agree not to use the Services to violate laws or regulations, upload malicious code, interfere with the operation of the platform, access data belonging to other users without permission, or attempt to reverse engineer the Services.
Calderis may suspend or terminate accounts that violate these rules.
5. Customer Data
You retain ownership of any data uploaded to the Services.
You grant Calderis a limited licence to host, process, transmit, and store Customer Data solely for the purpose of providing the Services.
You are responsible for ensuring that Customer Data complies with applicable laws and does not infringe third-party rights.
6. User Content Responsibility
Customers are responsible for all content uploaded or recorded within the Services, including images, documents, incident records, and operational data.
Customers must ensure uploaded content does not violate privacy rights, confidentiality obligations, intellectual property rights, or applicable laws or regulations.
7. Data Security
Calderis implements reasonable technical and organisational safeguards designed to protect Customer Data.
The Services may rely on secure third-party infrastructure providers. However, no system can guarantee absolute security.
8. Intellectual Property
All intellectual property rights in the Services remain the property of Calderis. This includes software code, platform design, algorithms, branding, and documentation.
Customers receive a limited, non-exclusive licence to use the Services during their subscription period. No ownership rights are transferred.
9. Service Disclaimer
The Services provided by Calderis are designed to assist organisations in recording, tracking, and managing operational, safety, and continuous improvement activities.
The Services do not replace professional safety advice, regulatory compliance obligations, workplace risk assessments, or internal management procedures.
Customers remain solely responsible for ensuring compliance with applicable workplace health and safety laws, regulations, and organisational policies.
10. Availability
Calderis aims to provide reliable access to the Services but does not guarantee uninterrupted or error-free operation.
The Services may be temporarily unavailable due to maintenance, software updates, infrastructure failures, or third-party service disruptions.
11. Limitation of Liability
To the maximum extent permitted by law, Calderis’ total liability arising out of or relating to the Services will not exceed the total fees paid by the customer to Calderis during the twelve months preceding the claim.
Calderis will not be liable for indirect, incidental, consequential, or special damages including loss of profits, business interruption, loss of revenue, or loss of data.
12. Indemnity
You agree to indemnify and hold Calderis harmless from claims arising from misuse of the Services, violation of these Terms, or infringement of third-party rights.
13. Suspension and Termination
Calderis may suspend or terminate access if fees remain unpaid, these Terms are breached, or use of the Services creates legal or security risks.
Users may cancel subscriptions at any time.
14. Changes to Terms
Calderis may update these Terms periodically.
Updated Terms will be published on the Calderis website or platform. Continued use of the Services constitutes acceptance of updated Terms.
15. Governing Law
These Terms are governed by the laws of Queensland, Australia.
Disputes will be resolved in the courts of Queensland.
